By engaging our services, you agree to be bound by the following Terms and Conditions. These Terms are legally binding under the laws of the Republic of South Africa.
1. INTRODUCTION
1.1 VAT Status
Bubble Bekkie Advertising (PTY) Ltd is not VAT registered. All pricing excludes VAT unless otherwise stated.
1.2 No Guarantees
Marketing outcomes depend on external factors including market conditions, competition, audience behaviour, budgets, platform policies, and algorithms. No guarantees are made regarding leads, sales, conversions, engagement, reach, rankings, or advertising performance.
1.3 Client Cooperation
Timely delivery depends on client approvals, communication, content submission, and cooperation.
1.4 Direct Client Relationship
All services are provided strictly to the registered account holder unless otherwise agreed in writing.
1.5 CORE LIABILITY PRINCIPLE
The Agency provides professional marketing and advertising services based on agreed scope of work.
The Agency is not responsible for outcomes, losses, or disruptions arising from factors outside its direct operational control, including but not limited to third-party actions, platform policies, algorithm changes, client-managed activities, or external market conditions.
2. LEGAL FRAMEWORK
Governing Law: Republic of South Africa
Dispute Resolution: Arbitration prior to legal action
Jurisdiction: Competent South African court
3. PAYMENT TERMS
All services are strictly prepaid unless otherwise agreed in writing.
No work commences without cleared payment.
Late or disputed payments may result in immediate suspension of services.
All quotations are valid for 3 calendar days unless otherwise stated in writing.
3.1 LATE PAYMENT TERMS
• R250 administration fee per overdue invoice
• Up to 2% monthly interest compounded
• Recovery and legal costs may be charged
4. MARKETING, DESIGN & SOCIAL MEDIA SERVICES
Setup fees are non-refundable.
Monthly services are prepaid.
One revision round is included unless otherwise stated. Additional revisions are billable.
5. ADVERTISING SYSTEMS, STRATEGY & INTELLECTUAL PROPERTY
All advertising systems, campaign structures, targeting methods, audience data, optimisation processes, workflows, account configurations, supplier relationships, reporting formats, internal operational methods, and strategic systems remain the intellectual property of Bubble Bekkie Advertising.
Clients are purchasing a managed marketing service and not ownership of systems, methodologies, accounts, operational infrastructure, or strategic processes.
No backend access, internal dashboards, supplier systems, campaign structures, operational methods, targeting systems, or advertising frameworks are included unless agreed in writing.
Bubble Bekkie Advertising retains full discretion over campaign structure, optimisation, testing, targeting, delivery methods, strategic direction, and performance management.
6. ADVERTISING MODEL: MANAGEMENT FEE & MEDIA SPEND SEPARATION
All advertising services operate on a dual-component structure:
6.1 Management Fee
Includes strategy, setup, campaign management, optimisation, reporting, creative direction, and execution.
6.2 Advertising Spend (Media Budget)
Funds allocated to third-party platforms including Meta, Google, TikTok, LinkedIn, and others.
Advertising spend is processed through external platforms and is subject to their billing systems, taxes, VAT, transaction fees, and currency fluctuations.
Clients acknowledge that:
• media spend is separate from management fees
• platform receipts are third-party documents
• advertising spend is consumed directly by platforms
• results are not guaranteed due to external factors
7. ADVERTISING SPEND, BOOSTED POSTS & REFUND POLICY
All advertising spend, boosted posts, paid media budgets, and platform charges are strictly non-refundable once allocated or processed.
Bubble Bekkie Advertising cannot reverse, recover, or refund platform advertising spend.
Payment is for service execution, not guaranteed performance outcomes.
8. ADVERTISING ACCOUNT STRUCTURE & OPERATIONAL METHOD
Advertising may be managed through Meta Business Manager, agency-controlled systems, or third-party environments.
Clients acknowledge:
• service continuity requirements
• campaign stability requirements
• operational efficiency requirements
Agency-managed systems remain the property of Bubble Bekkie Advertising.
Clients are purchasing a managed service only.
9. THIRD-PARTY PLATFORM BILLING
All advertising spend is processed through third-party platforms and subject to their billing systems.
Platform invoices reflect third-party billing structures, not agency fees.
Clients acknowledge:
• billing differences may occur
• VAT, fees, and conversion rates apply
• agency does not control platform billing
10. PLATFORM ACCESS & FINANCIAL DISCLOSURE
Where campaigns are managed through agency-controlled systems:
• internal structures remain confidential
• supplier agreements remain private
• operational systems are proprietary
• internal pricing is not disclosed
The Agency is not obligated to provide backend data, supplier invoices, or operational breakdowns.
11. CAMPAIGNS, COMPETITIONS & THIRD-PARTY PRIZE DISCLAIMER
Where promotional campaigns, giveaways, competitions, or prize-based marketing are facilitated:
11.1 Role Limitation
The Agency acts strictly as a marketing service provider and not as organiser, sponsor, booking agent, accommodation provider, or contractual party unless agreed in writing.
11.2 Third-Party Responsibility
All prizes, bookings, services, vouchers, or rewards are the responsibility of third-party providers and sponsors.
11.3 No Financial Handling
The Agency does not handle funds for third-party fulfilment or bookings.
11.4 No Liability
The Agency is not liable for:
• non-fulfilment of prizes
• booking disputes
• cancellations
• third-party failures
• payment disputes
• miscommunication
11.5 Administrative Only
All coordination is strictly administrative and does not create contractual responsibility.
12. CLIENT, THIRD-PARTY & SHARED PAGE DISCLAIMER
The Agency is not responsible for:
• self-run ads or boosted posts
• unmanaged content
• third-party advertising activity
• spam violations
• algorithm penalties
• reduced reach or engagement
• account restrictions
• AI-generated or unapproved content
• platform quality issues
Only work directly managed by Bubble Bekkie Advertising is covered.
13. THIRD-PARTY INTERFERENCE & TERMINATION
The Agency may suspend or terminate services where third-party interference impacts operations.
13.1 TERMINATION DUE TO THIRD-PARTY INTERFERENCE & REFUND EXCLUSION
Where services are impacted, disrupted, or compromised due to involvement, instructions, interference, or conflicting direction from any third party including but not limited to employees, managers, consultants, freelancers, agencies, or any unauthorised individuals, the Agency reserves the right to immediately suspend or terminate services.
This includes:
• conflicting instructions
• unmanaged or self-executed advertising activity
• external campaign changes
• third-party interference affecting performance or compliance
13.2 NO REFUND POLICY
If termination occurs due to third-party interference, no refunds shall apply for:
• setup fees
• management fees
• completed work
• media spend already allocated or processed
Advertising spend remains non-refundable once processed by platforms.
13.3 CLIENT ACKNOWLEDGEMENT
Clients acknowledge that professional advertising requires controlled execution. External interference constitutes a breach of service conditions and may result in termination without refund.
14. WEBSITE DESIGN & HOSTING
Full payment required upfront.
Turnaround: 7–10 business days after content submission.
Domains may remain registered until full settlement.
Backend access is not included unless agreed in writing.
15. DELIVERY & GUARANTEE
Delays caused by the Agency will be resolved at no extra cost.
No refunds apply due to service nature.
16. SEO SERVICES
Includes keyword research, metadata, indexing, and optimisation.
No ranking guarantees.
All SEO systems remain intellectual property of the Agency.
17. PRINTING
• Design: 3–5 business days
• Production: up to 21 business days
• Courier: 3–5 business days
18. CONSULTATIONS
One free consultation may be offered.
Additional consultations: R750 per hour, payable in advance.
19. THIRD-PARTY COMMUNICATION & AUTHORITY
Only the registered account holder may issue instructions.
No third party may alter strategy, approve work, or demand access.
20. LIABILITY
Services are provided “as is”.
Liability is limited to the amount paid for the specific service.
The Agency is not obligated to disclose internal systems, strategies, suppliers, or pricing structures.
21. TERMINATION
30 days written notice for ongoing services.
5 business days notice for project-based work.
Outstanding balances must be settled before release of work.
22. POPIA & PRIVACY
We comply with POPIA.
Client data is securely stored and not shared unless legally required.
23. AMENDMENTS
Terms may be updated at any time. Continued use constitutes acceptance.
